Business Agreement
KUV Enterprise (the Company) will provide the company listed above (the Customer) with a template based business website that is free of charge to the Customer.
(1) Fees and ChargesThe Company will provide the Customer with a functional, template based website that is completely free of charge with the exception covered in section (6). The Company is responsible and will pay for domain name registration and any associated website hosting fees.
(2) Exclusivity ClauseThe Customer agrees to and hereby grants complete exclusivity to the Company for a duration of 36 consecutive months from the date of domain name registration. If Customer develops or engages a 3rd party to develop a website advertising equivalent services during exclusivity then Customer agrees to pay the Company $500 restitution. At the conclusion of the 36 months exclusivity this agreement will change to an annual (non-exclusive) agreement unless cancelled by either party with 30 days prior written notice.
(3) Ownership of WebsiteThe Company will register the domain name and pay any fees associated with such registration. The Company will own the domain name and URL as well as all design elements of the website except any registered trademarks, service marks owned by the Customer. The Customer grants the Company exclusive rights to all trademarks or service marks for the life of the website.
(4) Advertising & RevenueThe Company will display 3rd party advertising on the website and will retain all earnings (monetary and non-monetary) received from such advertising. In exchange for the free website the Customer hereby and for all times will renounce any and all rights to any such revenues derived via 3rd party advertising. The Company will take reasonable steps to avoid displaying advertising from a direct competitor of the Customer.
(5) Errors or Omissions The Company will attempt to correct any factual inaccuracies or omissions within 2 business days once informed by the Customer via e-mail. Actual time of correction of errors or omission may vary as it is dependent on Internet access and hosting site availability. If errors can not be corrected within 2 business days then the Company will take every reasonable steps to address such errors or omissions whenever possible.
(6) CustomizationThe design, layout, functionality and usability of the website is up to the sole discretion of the Company. The website is template based. Additional features or functionality requested by the Customer are customizations which are subject to a $150/hr fee with a minimum upfront payment of $300. The Company has sole discretion of whether or not to implement such customization requests. Refusal of such customization request is not grounds to terminate this agreement and is not in violation of this agreement.
